Subscription Agreement

Welcome to Qivart , a creative tool that awakens martial arts imagination with words. Developed to blend algorithms and Eastern aesthetics seamlessly, Qivart transforms every sentence you input into an anime scene brimming with rivers and lakes charm—from misty mountains and flowing rivers to swordsmen clashing with flashing blades, all reinterpreted through a unique visual language. While Qivart offers basic features for free without requiring an account , we also provide premium subscription plans that unlock additional advanced features to enhance your creative experience.

This Subscription Agreement is a legally binding contract between you and Qivart governing your purchase and use of any Qivart premium subscription plan . This Agreement incorporates by reference our Qivart User Agreement and Privacy Policy , and by purchasing or using a Subscription, you acknowledge that you have read, understood, and agree to be bound by all terms of this Agreement and the Incorporated Agreements. If you do not agree to any part of this Agreement or the Incorporated Agreements, you must not purchase or use any Subscription.

1. Subscription Plans & Features

We offer three premium Subscription plans, each providing access to Qivart’s advanced features (the “Premium Features”) for the duration of the Subscription term, subject to the terms of this Agreement. All Subscription plans are recurring unless cancelled in accordance with Section 4 below. The details of each Subscription plan are as follows:

1.1 Monthly Subscription

The Monthly Subscription is a recurring monthly plan that provides you with unlimited access to all Premium Features for a period of one (1) calendar month from the date of purchase (the “Monthly Term”). The Monthly Subscription will automatically renew on the last day of each Monthly Term for an additional one (1) month period, at the then-current monthly Subscription price, unless you cancel the Subscription in accordance with Section 4.

1.2 Six Month Subscription

The Six Month Subscription (the “Six-Month Subscription”) is a recurring six-month plan that provides you with unlimited access to all Premium Features for a period of six (6) calendar months from the date of purchase (the “Six-Month Term”). The Six-Month Subscription will automatically renew on the last day of each Six-Month Term for an additional six (6) month period, at the then-current Six-Month Subscription price, unless you cancel the Subscription in accordance with Section 4.

1.3 Yearly Subscription

The Yearly Subscription is a recurring annual plan that provides you with unlimited access to all Premium Features for a period of twelve (12) calendar months from the date of purchase (the “Yearly Term”). The Yearly Subscription will automatically renew on the last day of each Yearly Term for an additional twelve (12) month period, at the then-current Yearly Subscription price, unless you cancel the Subscription in accordance with Section 4.

We reserve the right to modify, add, or remove Premium Features for any Subscription plan at any time, with reasonable notice to you (via in-App notification or email, if you provide an email address for Subscription management). Any changes to Premium Features will not materially reduce the overall value of the Subscription during the current Term.

2. Subscription Purchase & Payment Terms

2.1 Eligibility: To purchase a Subscription, you must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into this Agreement and make payment. If you are between 13 and 17 years of age (or under the age of majority in your jurisdiction), you may only purchase a Subscription with the express permission and supervision of your parent or legal guardian, who must agree to be bound by this Agreement on your behalf.

2.2 Payment Method: When you purchase a Subscription, you agree to provide a valid payment method (e.g., credit card, debit card, or other payment methods supported by Qivart) and authorize us (or our third-party payment processor) to charge the applicable Subscription price to your payment method. You represent and warrant that you are authorized to use the payment method you provide.

2.3 Pricing: The price of each Subscription plan is displayed at the time of purchase in the App. We reserve the right to change the price of any Subscription plan at any time, but such changes will not apply to your current Subscription Term. If we change the price of a Subscription plan, we will provide you with reasonable notice of the change (via in-App notification or email) before the change takes effect. If you do not agree to the new price, you may cancel your Subscription before the next renewal date in accordance with Section 4.

2.4 Taxes: The Subscription price does not include any applicable taxes (e.g., sales tax, value-added tax, or other taxes). You are responsible for paying all applicable taxes associated with your Subscription purchase. We may add taxes to your total payment amount at the time of purchase, based on the billing address you provide (if required by law).

2.5 Billing Cycle: For the Monthly Subscription, billing occurs on the same calendar day each month (or the last day of the month if the original purchase date is not present in a subsequent month). For the Six-Month Subscription, billing occurs every six (6) months on the same calendar day as the original purchase date (or the last day of the month if the original purchase date is not present). For the Yearly Subscription, billing occurs every twelve (12) months on the same calendar day as the original purchase date (or the last day of the month if the original purchase date is not present).

2.6 Failed Payments: If your payment method is declined or fails to process for any reason (e.g., expired card, insufficient funds), we will notify you (via in-App notification or email, if provided) and attempt to process the payment again within a reasonable period of time. If the payment remains unsuccessful, your Subscription will be suspended until payment is successfully processed. We reserve the right to terminate your Subscription if payment is not processed within 7 days of the initial failed payment attempt. You are responsible for any fees or charges incurred due to failed payments (e.g., bank overdraft fees).

3. Subscription Term & Renewal

3.1 Initial Term: Your Subscription begins on the date of successful payment and continues for the applicable Term (Monthly, Six-Month, or Yearly) as set forth in Section 1. You will have access to the Premium Features for the entire duration of the Initial Term, provided you comply with this Agreement and the Incorporated Agreements.

3.2 Automatic Renewal: All Subscriptions are set to automatically renew at the end of each Term, unless you cancel your Subscription in accordance with Section 4. By purchasing a Subscription, you explicitly consent to the automatic renewal of your Subscription and authorize us to charge the applicable Subscription price to your payment method on each renewal date.

3.3 Renewal Notice: We will send you a reminder notification (via in-App notification or email, if you provide an email address) at least 7 days before your Subscription is set to renew. This notification will include the renewal date, the applicable renewal price, and instructions on how to cancel your Subscription if you do not wish to renew.

3.4 Changes to Renewal Terms: We may modify the automatic renewal terms at any time, but we will provide you with reasonable notice of any changes (via in-App notification or email) before the changes take effect. Your continued use of the Subscription after the changes take effect constitutes your acceptance of the modified renewal terms.

4. Cancellation & Refunds

4.1 Cancellation Rights: You may cancel your Subscription at any time, for any reason, by following the cancellation instructions provided in the App (typically found in the “Subscription Settings” or “Account Settings” section). Cancellation is effective immediately, but you will retain access to the Premium Features for the remainder of the current Subscription Term. No partial refunds will be provided for the unused portion of the current Term.

4.2 Cancellation Before Renewal: To avoid being charged for the next renewal term, you must cancel your Subscription at least 24 hours before the renewal date. If you cancel within 24 hours of the renewal date, you may still be charged for the next Term, but you may cancel the new Term immediately and retain access to the Premium Features for the new Term.

4.3 Refund Policy: Except as required by applicable law, we do not offer refunds for any Subscription purchases, including but not limited to: (i) cancellation of a Subscription before the end of the current Term; (ii) dissatisfaction with the Premium Features; (iii) inability to use the Subscription due to device incompatibility (please check device requirements before purchasing); (iv) accidental purchase; or (v) violation of this Agreement or the Incorporated Agreements resulting in suspension or termination of your Subscription.

4.4 Refunds for Technical Issues: If you experience a technical issue that prevents you from accessing or using the Premium Features for more than 7 consecutive days, and we are unable to resolve the issue within a reasonable period of time (typically 3-5 business days), you may request a pro-rated refund for the period during which you were unable to use the Premium Features. To request a refund for technical issues, please contact us at support@qivartapp.com and provide details of the technical issue, including screenshots or other evidence of the issue.

4.5 Cancellation by Us: We reserve the right to cancel your Subscription at any time, with or without prior notice, if: (i) you violate any term of this Agreement or the Incorporated Agreements (including but not limited to the prohibited content rules in the User Agreement); (ii) you use the Subscription for illegal or unauthorized purposes; (iii) you provide false or misleading information when purchasing the Subscription; (iv) your payment method is declined or fails to process and you do not resolve the issue within 7 days; (v) we discontinue the Subscription plans or the App; or (vi) we reasonably believe your use of the Subscription poses a risk to other users, the App, or our interests. If we cancel your Subscription for any reason other than your violation of this Agreement or the Incorporated Agreements, we will provide you with a pro-rated refund for the unused portion of the current Term.

5. Subscription Usage Rules

5.1 Personal, Non-Commercial Use: Your Subscription is granted for your personal, non-commercial use only. You may not share your Subscription access with any third party (including but not limited to family members, friends, or colleagues), and you may not use the Subscription to provide services to third parties for compensation. This includes but is not limited to: sharing your device with others to access the Premium Features, selling or licensing access to your Subscription, or using the Premium Features to generate images for commercial purposes (e.g., selling generated images, using them in paid advertising, or using them for business purposes).

5.2 Device Limits: You may access your Subscription on up to 2 personal devices at the same time. If we detect that your Subscription is being accessed on more than 2 devices, or that it is being shared with third parties, we reserve the right to suspend or terminate your Subscription without refund.

5.3 Compliance with Incorporated Agreements: Your use of the Subscription and the Premium Features must comply with all terms of the User Agreement and Privacy Policy. In particular, you must comply with the prohibited content rules set forth in the User Agreement—any violation of these rules may result in suspension or termination of your Subscription, without refund.

5.4 No Transfer or Assignment: Your Subscription is non-transferable and non-assignable. You may not transfer, assign, sell, or gift your Subscription to any third party, under any circumstances.

6. Privacy & Data Protection

Your privacy remains our top priority, even when you purchase and use a Subscription. Our practices regarding data collection, processing, storage, and deletion are detailed in our Privacy Policy, which applies to all use of the App and the Subscription.

When you purchase a Subscription, we may collect limited payment-related information (e.g., payment method details, billing address) solely to process your payment. This payment information is processed by our trusted third-party payment processor and is not stored by us (except for the last 4 digits of your credit card number and the expiration date, if required for billing purposes). We never share your payment information with any third parties except our payment processor, who is bound by strict privacy and security obligations to protect your data.

We do not collect any additional personal information from you for the Subscription—you may still use the App and the Premium Features anonymously, unless you choose to provide an email address for Subscription management (e.g., renewal notifications, refund requests). If you provide an email address, we will use it solely for Subscription-related communications and will never share it with third parties or use it for marketing purposes without your explicit consent.

7. Modifications to the Subscription

We reserve the right to modify, suspend, or discontinue any Subscription plan, or any part of the Premium Features, at any time, with reasonable notice to you (via in-App notification or email, if provided). If we discontinue a Subscription plan, we will allow you to continue using the Subscription for the remainder of the current Term, and we will not charge you for any future renewals. If we make a material modification to a Subscription plan that significantly reduces the value of the Subscription (e.g., removing key Premium Features), you may cancel your Subscription and request a pro-rated refund for the unused portion of the current Term.

We may also update the App or the Premium Features from time to time to improve performance, add new features, or address security issues. You agree to download and install such updates to continue using the Subscription and the Premium Features.

8. Disclaimers & Limitation of Liability

8.1 Disclaimers: The Subscription and Premium Features are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to: (i) implied warranties of merchantability, fitness for a particular purpose, and non-infringement; (ii) warranties that the Subscription or Premium Features will be error-free, uninterrupted, or compatible with all devices or operating systems; (iii) warranties that the Premium Features will meet your expectations or produce the desired results; and (iv) warranties that the Subscription will be secure or free from malware.

We do not guarantee that the Premium Features will always be available or accessible, and we may temporarily suspend the Premium Features for maintenance, updates, or other reasons without prior notice. We shall not be liable to you for any downtime, outages, or interruptions in the Premium Features.

8.2 Limitation of Liability: To the maximum extent permitted by applicable law, we shall not be liable to you for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with this Agreement, your purchase or use of the Subscription, or the Premium Features. This includes, but is not limited to: damages for loss of use, loss of data, loss of profits, inconvenience, emotional distress, or any other intangible losses, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or related to this Agreement or the Subscription shall not exceed the total amount you paid for the current Subscription Term. This limitation of liability applies regardless of whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory.

We shall not be liable for any damages arising from: (i) your violation of this Agreement or the Incorporated Agreements; (ii) your use of the Subscription or Premium Features for illegal or unauthorized purposes; (iii) your inability to use the Subscription or Premium Features due to device incompatibility or technical issues with your device; (iv) third-party actions or omissions (including but not limited to payment processor errors); (v) modifications to the Subscription or Premium Features; (vi) suspension or termination of your Subscription in accordance with this Agreement; or (vii) factors beyond our reasonable control (such as internet outages, device malfunctions, or operating system updates).

9. Third-Party Services

We use trusted third-party service providers to process payments for Subscriptions (our “Payment Processor”) and to facilitate certain aspects of the Subscription management (e.g., sending renewal notifications). These third-party service providers are bound by strict privacy and security obligations and are prohibited from collecting, storing, or using your personal information for any purpose other than providing the services we request.

We do not integrate the Subscription or the App with any other third-party services (such as social media platforms, advertising networks, or data brokers) beyond the Payment Processor and your device’s operating system provider (e.g., Apple or Google), who facilitates the download and installation of the App. We never share your personal information or creative content with any third parties, except as required to process payments or as required by law.

Your use of the Payment Processor’s services is subject to the Payment Processor’s own terms of service and privacy policy. We shall not be liable for any actions or omissions of the Payment Processor, including but not limited to payment processing errors, data breaches, or other issues related to the Payment Processor’s services.

10. Changes to This Agreement

We may update or modify this Agreement from time to time to reflect changes in the Subscription plans, Premium Features, payment terms, applicable laws, or our privacy practices. We will not make changes that reduce your rights or increase your obligations without providing you with reasonable notice of the changes (via in-App notification or email, if provided). When we make changes, we will update the “Last Updated” date at the top of this Agreement.

By continuing to use the Subscription after the updated Agreement takes effect, you agree to be bound by the revised terms. If you do not agree to the changes, you may cancel your Subscription before the next renewal date in accordance with Section 4, and you shall not be charged for any future renewals. We encourage you to review this Agreement periodically to stay informed of any updates.

Our dedicated support team will review your message, address your concerns, and work with you to resolve any issues. When you contact us, we never collect or retain any personal information beyond what is strictly necessary to resolve your inquiry—all information you provide is used solely to help you, and it is deleted immediately after your issue is resolved.

If you need to report a violation of this Agreement, or if you have questions about the prohibited content rules or intellectual property issues related to your Subscription, please include as much detail as possible to help us address the issue quickly.

12. General Provisions

12.1 Entire Agreement: This Agreement, together with the Incorporated Agreements (User Agreement and Privacy Policy), constitutes the entire understanding and agreement between you and us regarding your purchase and use of the Subscription, and supersedes any prior or contemporaneous agreements, understandings, or representations (whether oral or written) between you and us.

12.2 Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that most closely reflects the original intent of the parties.

12.3 No Waiver: Our failure to enforce any term of this Agreement shall not constitute a waiver of that term or any other term of this Agreement. No waiver of any term of this Agreement shall be effective unless it is in writing and signed by us.

12.4 Assignment: You may not assign or transfer this Agreement or any of your rights or obligations under this Agreement without our prior written permission. We may assign or transfer this Agreement or any of our rights or obligations under this Agreement to any third party at any time, without your permission.

12.5 Governing Language: This Agreement is written in English, and the English version shall be the governing version for all purposes. If this Agreement is translated into any other language, the English version shall prevail in the event of any conflict or discrepancy between the translated version and the English version.

12.6 Relationship of Parties: Nothing in this Agreement shall create a partnership, joint venture, agency, or employer-employee relationship between you and us. You are an independent user of the Subscription, and you are not an agent or representative of us.
